1. Agreement to Terms

Welcome to BidDrop. These Terms of Use (“Terms”) constitute a legally binding agreement between you and BidDrop, Inc. (“BidDrop,” “we,” “us,” or “our”) governing your access to and use of the BidDrop mobile application and website (collectively, the “Services”).

By creating an account, accessing, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not access or use the Services.

2. Eligibility

To use BidDrop, you must:

  • Be at least 18 years of age
  • Be a currently enrolled college or university student (for full access to campus features)
  • Have the legal capacity to enter into a binding contract
  • Not be prohibited from using our Services under applicable laws
  • Not have been previously banned or removed from our platform

By using our Services, you represent and warrant that you meet all eligibility requirements. We reserve the right to verify your eligibility at any time.

3. Account Registration and Security

3.1 Account Creation

To access certain features of BidDrop, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

3.2 Student Verification

To access campus-exclusive features, you must verify your student status using a valid .edu email address. Falsely representing your student status may result in immediate account termination.

4. The BidDrop Platform

4.1 Nature of Services

BidDrop is a peer-to-peer marketplace platform that enables users to:

  • Post Requests: Create requests for items to buy, borrow, or have delivered
  • Bid on Requests: Offer to fulfill other users' requests as a “fetcher”
  • List Items: Post items for sale or rent
  • Make Purchases: Buy or rent items from other users

4.2 Role as Intermediary

BidDrop acts solely as an intermediary platform connecting users. We do not:

  • Own, control, or possess any items listed on the platform
  • Employ or supervise fetchers who fulfill requests
  • Guarantee the quality, safety, or legality of items or services
  • Act as an agent for any user in transactions

5. User Conduct and Prohibited Activities

5.1 Acceptable Use

You agree to use BidDrop only for lawful purposes and in accordance with these Terms. You will treat other users with respect and conduct transactions in good faith.

5.2 Prohibited Activities

You agree NOT to:

  • List or request illegal items, including drugs, weapons, stolen goods, or counterfeit products
  • Engage in fraud, misrepresentation, or deceptive practices
  • Harass, threaten, or abuse other users
  • Create multiple accounts or impersonate others
  • Circumvent our payment system or fees
  • Use the platform for commercial activities outside its intended purpose
  • Scrape, harvest, or collect user data without authorization
  • Interfere with the proper functioning of the Services
  • Violate any applicable laws, regulations, or third-party rights
  • Post false, misleading, or defamatory content
  • Engage in price gouging or exploitative pricing

6. Transactions and Payments

6.1 Bidding and Acceptance

When you post a request, fetchers may submit bids. Accepting a bid creates a binding agreement between you and the fetcher. Both parties are obligated to complete the transaction as agreed.

6.2 Escrow Payments

All payments are processed through Stripe using our escrow system:

  • Payment is collected when a bid is accepted
  • Funds are held in escrow until delivery is confirmed
  • Payment is released to the fetcher upon confirmation of successful delivery
  • Disputes must be raised within 48 hours of delivery

6.3 Fees and Charges

BidDrop charges a service fee on completed transactions. Current fees are:

  • Requester service fee: 5% of transaction total
  • Fetcher service fee: 5% of earnings
  • Payment processing fees may apply (handled by Stripe)

We reserve the right to modify fees with 30 days' notice.

7. Cancellations and Refunds

7.1 Cancellation Policy

  • Requesters may cancel before a bid is accepted without penalty
  • After bid acceptance, cancellations may result in fees
  • Fetchers who accept bids and fail to complete deliveries may face account restrictions
  • Repeated cancellations may affect your account standing and ratings

7.2 Refund Policy

Refunds are issued in the following circumstances: non-delivery of items, significantly damaged or incorrect items, mutual cancellation agreement, or successful dispute resolution in the requester's favor. Refunds are processed within 5-10 business days.

8. Ratings and Reviews

After each transaction, users may leave ratings and reviews. You agree to:

  • Provide honest and accurate feedback
  • Not engage in review manipulation or fake reviews
  • Not retaliate against users for honest negative reviews

We reserve the right to remove reviews that violate our policies or contain inappropriate content.

9. Intellectual Property

9.1 BidDrop Content

All content, features, and functionality of BidDrop, including but not limited to text, graphics, logos, icons, images, software, and the overall look and feel, are owned by BidDrop and protected by intellectual property laws.

9.2 User Content

By posting content on BidDrop, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content in connection with our Services. You retain ownership of your content and are responsible for ensuring you have the rights to share it.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability or fitness for a particular purpose
  • Accuracy, reliability, or completeness of content
  • Uninterrupted, secure, or error-free operation
  • Quality, safety, or legality of items or services offered by users
  • Accuracy of user information or backgrounds

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDDROP SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or goodwill
  • Actions or conduct of third parties, including other users
  • Any unauthorized access to or use of our servers or personal information

Our total liability to you shall not exceed the greater of (a) the fees paid by you in the 12 months preceding the claim, or (b) $100.

12. Indemnification

You agree to indemnify, defend, and hold harmless BidDrop and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, your violation of any rights of another party, or your user content.

13. Dispute Resolution

13.1 Informal Resolution

Before filing any legal claim, you agree to attempt to resolve disputes informally by contacting us at disputes@biddrop.com. We will try to resolve the dispute within 30 days.

13.2 Arbitration Agreement

Any dispute arising from these Terms or your use of BidDrop shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be conducted in San Francisco, California, unless you and BidDrop agree otherwise.

13.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Harm to other users or the platform
  • Request by law enforcement or government agency

You may terminate your account at any time through the app settings. Upon termination, your right to use the Services will cease immediately.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in San Francisco County, California.

16. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via email or through the app at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

17. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and BidDrop.
  • Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
  • Waiver: Our failure to enforce any right or provision will not constitute a waiver.
  • Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights freely.
  • Notices: We may provide notices through the app, email, or posting on our website.
